SEC amends proxy rules on shareholder director nominations

The SEC has amended Rule 14a-8(i)(8) to clarify that companies may exclude shareholder bylaw proposals that would result in contested proxy elections, responding to the Second Circuit's AFSCME v. AIG decision.
