SEC's first 21(a) report in eight years: coalitions, 13D group formation

The SEC's first Section 21(a) report of investigation in eight years says membership in investor coalitions like Climate Action 100+ can, with more, create a Section 13(d) group and forfeit Schedule 13G eligibility.

On October 7, 2026 the SEC issued a Section 21(a) report of investigation — its first in eight years — examining coordinated institutional-investor activity, focusing on Climate Action 100+ and the 2021 ExxonMobil proxy contest. Although the Commission declined enforcement on the conduct then known, it signalled that group status under Section 13(d) can be established by circumstantial evidence: coordinated voting, harmonized evaluation frameworks, negative publicity or client pressure campaigns, and membership coupled with commitments to align. Express disclaimers of coordination, the report says, are not dispositive; what matters is actual conduct and whether independence policies are implemented and enforced.

Three consequences deserve attention. First, financing coalitions or intermediaries can trigger Rule 13d-3(b) attribution, and a contribution of more than $500 may make an investor a disclosed participant in a Section 14(a) proxy solicitation even when routed through a third party. Second, participation in board-refresh efforts can undercut Schedule 13G eligibility — both the no-control-intent and qualified institutional investor ordinary-course tests, with index funds flagged for initiatives unrelated to benchmark performance — with knock-on Section 16 effects. Third, issuers should re-examine advance notice bylaws, state business-combination statutes, and change-of-control covenants where coordinated holdings cross thresholds.

Watch for follow-on rulemaking, further enforcement, and state-law and House Judiciary Committee scrutiny of coalition participation.
