SEC Adopts New Climate‑Related Disclosure Rules

The SEC’s 2026 rule change will force public companies to disclose detailed climate‑impact data under its new framework.

The U.S. Securities and Exchange Commission formally adopted a comprehensive set of climate‑related disclosure rules in October 2026, expanding the data that issuers must provide in periodic and event‑based filings. The new framework mandates quantitative metrics on greenhouse‑gas emissions, material climate risks, and transition plans, aligned with international reporting initiatives. Firms that report under the SEC’s previous proxy or 10‑K regimes will now need to enhance disclosure infrastructure, potentially adding new ESG governance roles and data‑collection systems. The SEC also opened the filing of petitions for review across multiple appellate courts; the consolidated case is expected to reach the U.S. Court of Appeals for the Eighth Circuit. Lawyers should advise clients to review existing disclosure policies, assess data gaps, and begin integrating the new reporting requirements into compliance calendars. Anticipate early questions from investors, regulators, and insurers that may benchmark against the SEC’s climate framework.
